| Standard form contract is provision which is prepared in advance for general and repeated use by one party. They have been widely used in exchange fields since the end of the 19th century and the beginning of the 20th century, which indicates its great value. Standard form contract is the uppermost pattern in deal. International trade means the goods and services activities exchanged in different countries (regions).Nowadays, international trade plays an important role in international economy and almost worldly existed. Standard form contract is widely used in most fields of international trade, including goods trade, transportation and payment, etc. The standard form contracts used in international goods trade becomes the international trade standard form contracts. There are some legal problems in using international trade standard form contract. This article proceeds with the definition of international trade standard form contract, analyzes the legal problems and solution while in use, illustrate its' positive significance and discuss how to improve it in our country. The whole article is constructed into six parts in addition to the preface and conclusion.The preface illuminates the subject of the article in summary, reviews the existed literature in the range of this article and points out the legal problems need to be solved.In the text, part 1 emphasizes the introduction of the international trade standard form contract including its' formation, conception, characters, categories and value which disparts in five sections. Part 2 to part 4 points out the legal problems about international trade standard form contract. Part 2 analyzes the legal problems about the battle of forms and the solutions. Part 3 discusses how to interpret the international trade standard form contract. Part 4 expatiates how to protect the benefits of vulnerable party in international trade standard form contract. Part 5 analyzes the positive significance that the international trade standard form contract puts into the uniform of international trade law. In this part, firstly, the author introduces the reasons on the uniform of international trade law. Secondly, the author enumerates the legal forms of the uniform of international trade law. Finally, the author points out the contributions which the international trade standard form contract gives to the uniform of international trade law. Part 6 gives some suggestion about the international trade standard form contract using in our country on basis of the study of international trade standard form contract.The conclusion is a summary of the author's whole ideas and important points of view in this article. |
