Since the is enacted, some unreasonable factors of rescinding a contract are emerging, which also bring confusion and puzzle to judicial practice. In this thesis, with the compare to civil law system the author try to conceive the rescinding system from following aspects: the concept and character of rescinding, the compare with relative systems, the reason of rescinding, exercising the right to rescind the contract, the result of rescinding a contract etc.
