As one of the motivating systems to directors and managers, D&O liability insurance has far-reaching significance for perfecting the organization of the companies, maintaining the legal rights and interests of the directors and protecting the interests of the shareholders and the third parties. Herein the new corporation law has prescribed the civil liability system of the directors and the officers; there is an opportunity to perfect the D&O liability insurance in our country.Starting with the conception of the D&O liability insurance, this thesis discusses the necessity of the establishment of this insurance and other relating basic issues.
