Research On System Of Corporate Supervision And Independent Supervisor

System of corporate supervision is the weakest chain in the modern corporate governance. Nowadays, a hot point is whether continually to complete the system of supervisory committee, or to lay the hope in the system of independent directors, or to grope a compromising project, when we discuss corporate governance.As supervisory power in corporate governance, the supervisory committee in China do not fulfill their due role as legislatives expected. It leads to a more and more serious phenomenon—insider control, which seriously harms the benefit of shareholders, creditors and employees. Through further analysis of its causes, we can see the common problem is that the supervisory committee exists in mere formality. In the meantime ,we can find that the system of independent directors (as a good governing method being suggested by many scholars) has a series of adapting problems in its rooting place, which reflect the defect of system itself. It is not of efficiency in preventing top managements from abusing authority in modern large companies. We should not put much respect in the inefficient supervisory system.After a full analysis of two kinds of supervisory systems both in theory and in practice, the writer proposes two phases. The task of the first phase is to introduce the system of independent directors and complete the system of supervisory committee at the same time on the basis of our own national situation in order to make the two systems coexist complementally. The task of the second phase is to complete the system of independent supervisor and completely change the framework of power of supervisory committee .As a result, we can realize professional and independent supervision of power and set up an efficient supervisory system, adapting to our national situation.
