This thesis is divided into seven chapters.Chapter 1 is the definition of the implied terms and is divided into three sections. Section 1 analyses the conception of the implied terms. As to that, there are several different expressions of different authors in the world.On analyzing those, this thesis summarizes two common grounds as follows: Firstly, implied terms are the clauses not covered explicitly in the contract by the parties. Secondly, implied terms are the clauses that the court applies to the contract in the course of litigation on some basis. Section 2 talks about some relationships between the implied terms and the conceptions relating to it, in which the most important is about such relationship between implied terms and contract interpretation and that between implied terms and"complementary interpretation of contractual leak"in civil law countries. The former indicates that implied terms are still part of the contract interpretation system, and the latter lays the foundation for the comparison between implied terms and"complementary interpretation of contractual leak". Section 3 analyses the necessity and the possibility for applying implied terms. Lack of only secondary clause is the premise for implied terms to run. At the same time, that it is hard to perform the contract without secondary clause is the main reason why we use implied terms. However, the lack does not affect the attachment, which makes it possible to apply implied terms.Chapter 2 does some research on the history of implied terms and involves two sections. Section 1 introduces the process implied terms appeared. The practical background was that parties can not and need not put everything that they can imagine into contract.
