The Study Of The Nongovernmental Public Company's Governance

Early on the end of 1960's or the beginning of 1970's, company's governance was put forward as system arrangement of managing and controlling company by America scholars. Thus ,there has been an increasing worldwide interest on it . The conception of company governance introduced in china was so shorter that the study of it is still in infant step. With improvement of the company's status in nation economy and society subsistence, because it can boost corporation reform and enhance corporation work performance, it has arranged in the schedule of economy system reform. But, in our country, the nongovernmental public company's governance was still in first and exploring phase .At present,there were no systemic study on it and no efficacious measure to perfect it, so the study of the nongovernmental public company'governance has practical meaning. At first, the study analyzed the nongovernmental public company's actuality and pointed out it's advantage and disadvantage on the base of the reality of the nongovernmental public company in our country. Then there had empirically analysis about the capitalization structure,directorate structure,monitor structure,debt structure,the relationship between the company effect and directorate size,independent director size,monitor size,debt structure. At last, the study gave some suggestion about countermeasure and policy from optimizing the capitalization structure,perfecting the interior governance structure and consummating the exterior governance mechanism.
