Compared to traditional company with several hundred history, One-Man Company institution is newly established company institution with short history, which satisfies demand of modern market-oriented economy. With establishment of modern enterprise system in China, the problem on One-Man Company has been always disputable one in theory and profession for a long time. This dissertation aims at sorting One-Man Company institution.Introduction introduces concisely One-Man Company and advances the reasons of writing.The first part 'The law definition of One-Man Company and impact on traditional company system" is substratum thesis. Firstly, it confirms the law definition of One-Man Company, differentiates types of One-Man Company through comparing with other types of enterprises. Secondly, it indicates One-Man Company's impact on traditional company system form three aspects impact on traditional company system form three aspects including company's association character, legal person managing institution and responsibility institution.The second part "The evolution process of One-Man Company" is history thesis. Firstly, it introduces different theories, which advance theory basis for One-Man Company.
