The Study On Some Legal Problems About State-owned Marketing Enterprises' Practice Of Stock Option

Reforms of our state-owned enterprises have had a long time and a difficult path, but it is not very good and has not found a good way in comparison with other enterprises of ownership. Deeply influenced by the whole political and economical affairs of society and limited with itself defects of corporate governance, so the reforms is a systems engineering and needs to think about many sides causes. First, the article depends on studying the function, characteristic and practice at home and abroad of the stock option, finding that it is so consistent with reforms of our state-owned enterprises, because its practice is also a large of systems engineering and wants co-operation of many sides' causes if the stock option will elaborate much avail. Second, through the direction of Human Capital theory and Marxism theory of labor value, the article analyzes the root of stock option's inviting disaster after the problems at Enron. Finally, after careful analysises of the stock option practice of our State-owned marketing enterprises in the eyes of the law, the article gives some constructive ideas and wishes to contribute a lot for our country.
