| It is of great significance to study the externalization of enterprise's tacit knowledge. The position and function of explicit knowledge, as an important source of enterprise's competitive advantage, have already caused enough attention of domestic and international theory circle. Theoretically, the knowledge-based theory of firm has not been at ripe stage yet; domestic and international scholars have not reached unanimity to understanding of intension of tacit knowledge yet, further to understanding of complicated course of the externalization of enterprise's tacit knowledge. Therefore, it is necessary to probe into it further and clear. Practically, enterprise's knowledge management in our country has still just started. There are some failing cases among them because of ignorance of the management of tacit knowledge.This paper has four parts.First, we set about to define the concept of tacit knowledge, and sum up its primary characters, and then classify it again. On this basis, we discuss the operation mechanism of tacit knowledge and prove its position in firm management.Second, the paper gives the limitation of the objective characters of tacit knowledge and difficulty in measuring it. There is a knowledge market inside enterprise, in fact, where the externalization course of tacit knowledge is a course of game based on both-sides' value and risk. Then, the restriction of such external environment as technological environment, organizational framework and enterprise culture, etc., will produce the obstacle to the externalization of tacit knowledge to a certain extent.Third, it needs to set up an external environment system. Then, the article points out: tacit knowledge, as a kind of important human capital, should participate in arranging enterprise's property rights and sharing its surplus ,and set up a relevant dynamic theory model. In 3 routes of encouraging the owners' tacit knowledge , the encouraging route of property rights is better.
