Research On Chinese Non-profit Organizations Governance

With the reformation of our economic structure in last century, Non-profit Organization (NPO for short) has achieved considerable development. It has played a positive role in safeguarding social justice, protecting vulnerable groups and promoting social development harmoniously. However, NPO failures caused by management chaos and corrupt breeding etc have occurred frequently which demand to regulate the development of NPO objectively. The absence and imperfectness of NPO governance structure have been the main reason for NPO failures. Thus, the NPO governance structure should be perfected, which could contribute a lot in solving and organizing existing issues and boosting its function.This paper can be divided into six parts. The introduction part points out the purpose of this article, which means to explore the existing issues and perfected suggestions of our NPO governance structure. These suggestions could be beneficial not only for playing roles in transitional society, but also for specifying distinctions among the three elements of government, market and NPO in social constructions, and promoting the development of harmonious society.The first part delimitates the intention and extension for NPO and clears out the research object of this article. It specifies the theoretical bases for the involvement of NPO, which includes theories such as Market Failure, Government Failure, the Third Side of Ministration and Volunteerism. Besides, it also emphasizes on the necessity of analyzing NPO's developing in the view of Economic Law.The second part studies the treatment structure of NPO. The beginning of this part makes a distinction among the concepts of governance, NPO's governance and NPO's governance structure. It specifies that NPO's governance structure includes both organizing the inner power separating and balancing and the outer power checking efficiently. Moreover, it also analyzes theoretical bases for NPO'governance by theories of Separation of Proprietary Rights from Management Rights, Principle Agent and Stake Holder. Combined Chinese present laws and rules with the development of NPO in practices, this part discusses the present conditions of NPO's development and shortcomings of its t governance structure.The third part makes a comparative study for NPO'S governance structure. By the comparisons among USA, UK, Germany and Japan in the aspects of NPO'S governance structure experiences, it puts forward that the advanced experiences of other countries have great reference for out country's NPO.The fourth part is based on analyzing the shortcomings and advanced experiences of other countries; it advocates the basic principles and specific procedures in perfecting our countries'NPO governance structure. The basic principles have to interact with specific procedures. What's more, this part puts forward that the NPO governance structure could be perfected from two aspects, the inner management and outer supervision.The conclusion part points out the innovativeness and shortcomings of this paper, and the limitations of the present theories in studying NPO governance structure. It also suggests that the independent status of NPO should be fully respected. Based on this, further efforts should be made on organizing development and boosting the functions of NPO in social advances.
