| At present, China's securities market is in the stage of development and growth, all sorts of relevant regulations are not perfect, and all sorts of relevant system needs to be improved. However, the stock market has plays a major role to development of our country economy market.Meanwhile, insider trading crime is one kind of typical crime. The criminal law of the People's Republic of China sets up specifically to combat this crime form. But, in judicial practice, the edge of insider trading crime tend to appear confused with other similar crimes, blame punishment does not adapt awkward situation. If blindly adopt strict criminal punishment, it will give a securities recession and serious influence to China's market economic development and operation. In view of this, the author tries to clarify the boundary of insider trading crime. This article from the two aspects for the insider trading crime, the similarities and differences between these two kinds of behavior were confused.Firstly, define this two kinds of illegal behavior from two kinds of securities which cause the specific discussion on insider trading crime. Secondly, in the perspective of this kind of crime or that, we put our notes on the boundary of insider trading crime and "The rime of Use not public information". On this basis, we clarify standards of insider trading crime, the "serious" identification of insider trading crime is different.Thus,we study on the surrounding insider tradingin in the reasoning process.Through this study way,we will fully grasp the boundary of insider trading crime in a more clear standard which avoids the question of disjointed between the criminal law of the People's Republic of China and the securities law of the People's Republic of China. author hope this article will give the theoretical aspects support to fight to this new type of financial crime.
