| Behavioral Finance is a finance theory which originated in 1950's and revived in 1980's. To Aim at the defects of the traditional models, Behavioral Finance analyzes financial and economic problems from a new angle. The Limited Rationality Hypothesis of Behavioral Finance can accord with the fact of finance market better than complete rationality hypothesis of standard finance. So Behavioral Finance can explain many phenomena which Standard Finance can't. Because the Behavioral Finance shaked the foundation stone of traditional theory, it would exert revolutionary influence on Standard Finance. At present, this theory is in the front of finance research and practice fields. At the same time, it's also a hot topic. In China, studying Behavioral Finance is very late, and few people know it well in finance practice field. So it's of great importance to systemicly introduce this theory which possesses the academic and applied value. This paper is established in financing field, and employ the theory of Behavioral Finance to analyze, I hope it can be the primary and helpful research.In the Chapter 1, I make a rough introduce about the financing mode of the corporation coming into the market in China and correlative research about it, and more, the significance of employing Behavioral Finance to research the financing mode of corporation is derived from it. In the Chapter 2, I systemicly introduce the main theory and model of Behavioral Finance. From it , we can see why the Behavioral Finance can obtain the great achievement in finance research, and we can also see it's important function of substituting or supplementing the Standard Finance. In the Chapter 3, I make a model and empirical study on the financing mode of corporation from the corporation competition behavior, validating that the corporationcompetition behavior would exert essential influence on the mode of corporation financing. At the same time, I put forward some financing suggestion. In the Chapter 4,I analyze the behavioral factor which exist in mispricing on corporation shares, and study the influence it would make on the financing mode. For explaining this more better, I employ the contrast method. It's say, I use several index, combining the contrast analysis and regression analysis.
