The Research Of Shareholder Bearing Corporation Debt Based On Disregard Of Corporate Personality Theory

Company's limited liability system, has promoted the development of society's productivity. But with constant practice, there are many phenomenon, which abuse corporate personality .It demand to be regulated by law urgently. Disregard of corporate personality, is a kind of exception in order to pursue fair and just principle legislating, for remedying the defect of limited liability system. This system prevents the shareholder from abusing the personality of corporate. In this thesis, the author tries to proof the possibility of immigrating this theory and gives some idea of our national. The thesis contains five Parts, approximately thirty thousand words.Chapter 1, this chapter introduced the reason, background of this thesis and framing the path of this research.Chapter 2, this chapter mainly focus on the Theory of Disregard of Corporate Personality, introduces the connotation, theory basis, character. In order to applying the theory correctly, this part introduces the condition and occasions on applying the theory of disregard of corporate.Chapter 3, this chapter introduced limited liability system. Included the formation, connotation, and character of the system and analyzed the value and shortage of it.Chapter 4, through the compare analysis of two systems, the author gave some suggestions for establishing the system of disregard of corporate personality in China and analyzed concrete problem in applying the theory at the last section.Chapter 5, this chapter drew the research conclusion of this thesis and looked forward to follow-up research work.In short, the thesis pointed out that the system of disregard of corporate personality should be established in China timely to perfect the corporation systems, thus it can assure a healthy legal environment for socialist market economy and regulates more legal transaction by market subject.
