ESOP(Employee Stock Ownership Plan)is one of the enterprise ownership structures which has been enforced extensively in America since recently twenty years, the effect is obvious. As a kind of long-term incentive institution in enterprises,ESOP has been enforced extensively in China too, but the effect was not anticipant. Especially in the recent two years, the practice of ESOP appeared a few worrying social problems (for example, Huawei suffered the lawsuit because of ESOP; Haier's property right encountered query; the reorganization of electricity system met with pause), and it became an obstacle and restricted the healthy regular development of ESOP in China. Therefore, this thesis gives a deep research for the practice of ESOP at the turning phase of the Chinese economic institution's restructuring. This thesis divides to four parts to research ESOP: Firstly, deriving a larger range ESOP from stock ownership incentive and expatiating its conception and character. Secondly, comparing and analyzing the current situation of ESOP of abroad and home, it reveals the significance of the theory and experience of ESOP of other countries. Thirdly, from macroscopic to microscopic, from general to individual, using the case of ESOP of WISCO Communication Co,. Ltd to analyze to point out the advantage and disadvantage. Finally, giving the specific suggestion and the announcements of practice. Comparing with the ESOP of the abroad, Chinese ESOP have some gaps on the legal basis, the policy guide, the legal status of ESOP, the source of capital, the stock proportion and the transfer mode. Besides using the foreign experiences for reference, to establish ESOP with Chinese characteristics, the country has to provide the legal basis and supports for ESOP from macro-policy and institution. The enterprises need to implement scientific program design and normative operation and management, thus we can form effective property right system....
