This paper explains the concept, the legal characteristic, as well as the classification of stock holding by employees, and makes a further analysis about the foundation of theory and the values of this system. On the aspect of economy ,the writer makes a further analysis about the "double factors economic theory" and "sharing economic theory" raised by western scholars as well as the "worker subject theory" and "labor title theory" raised by domestic scholars. On the aspect of legal foundation , the writer puts forward that the system of stock holding by employees is a legal form which can realizes the owner position of workers and is a efficient way to better the governing structure of domestic company. At the same time, the writer finds out that "encouragement and efficiency" is the value idea which this system should trace.In part three of this paper , comparing the advanced experiences of western developed countries, the writer gets such a conclusion that management of company should be conducted by special setup and linked with the participation of workers, and our government should back some special policy on this system such as credits and taxes.This paper takes a review on the appearance and the development of this system, and makes a positive analysis about it's characteristics and some phenomena. We can find that a law should be made as quickly as possible in our country.This law can deals with such problems of this system emphatically as following: capital resources , share resources, taxes, transform and proportion control ofworkers' stock , as well as voting, and it also can adjust the the legal position and setup setting,as well as rights' scope of conference of employee holders.Therefore , the performance of this system can contribute to the improvement of holding structure , the solution of over concentration of holding rights , the intensification of internal governing mechanism of companies ,as well as the setting and improvement of external governing mechanism of companies.
