Since the eighties of the 20th century, through the development and practice for many years, enterprises M&A in our country improve a lot on the scale and the level. Because of various kinds of reason, the success rate is not too high, the statistics show that it is about 20%. Among them, the fault of M&A integration is the main problem. To a great extent, M&A integration succeed or not determining the success and failure of M&A.In our country, the research on M&A integration have just started, many discussion are still staying on a certain aspect. Along with the development of market economy, especially after our country joining in WTO, facing the globalization competition, it unavoidably becomes the strong means that the enterprises of our country participate in the market competition actively .So, it is very important and realistic to investigate further about the M&A integration of our country.After reviewing the theory, the text point out the current situation and problem of M&A integration in our country. Based on creating value and strengthening the competition advantage, we explain the successful condition under three different M&A integration mode. Combining with the analysis of success and failure cases of our country, summarize the question which need pay close attention to. We hope all these helpful to the enterprise M&A of our country. The full text divides into four parts altogether:The first part mainly is the relevant concept, principle of M&A integration. It explain the concept tactics and the main problem of M&A integration.The second part summarize and review the theory of M&A integration, introduce competition strategic theory and key competitiveness theory. It point out three kinds mode: the mode of corporate culture integration, key competitiveness integration, resource /ability integration, and the successful condition of each mode.In the third part, it attempt to apply the successful condition of each mode, analysis the success and failure cases, discuss the factors which influence the M&A integration.The fourth part propose some suggestion about M&A integration of our country: (1) It should follow the enterprise reality when choose the M&A integration mode. (2) Choosing the M&A target cautiously and provide safeguard for integration. (3) Strategy M&A is recommend, constructing and cultivating the key competitiveness are the goals of M&A integration. (4) Pay attention to the integration of corporate culture and HR. (5) Deal the government with enterprise relation correctly, give full play to the government and serve function in the M&A integration.
