The internal administrative structure of company has been the hot spot of research in the field of economics recently. This dissertation believes that the internal administrative structure in company should be a chain of systems including the right restraint and the setting up of obligation among Board of shareholders, Board of shareholders, Board of directors, Board of supervisors and managers, it is a regulation by way of setting up the rights, obligations and relevant responsibilities so as to adjust the relationship among shareholders, creditors, staff members, government and consumers with the development of modern company theory.Recently, main problems have come into being in our enterprises carrying out the system of company during the rapid development and regular running, such as inefficient Board of shareholders, abusing the power and functionless board of supervisors. All these turn out to be that our companies are in further demand of improvement in internal administrative structure in company . The dissertation has a analysis and probe for the problems existing in the internal administrative structure in company from the view of economics. The dissertation also has a research on the strategies improving the internal administrative structure in company and puts forward proposals. First, the dissertation has a comparing analysis of three kinds of companies of current abroad manages, discuss three kinds of modes to conver mutually ;Then , right our country company inner part mange the construction proceeding evaluation, analysis. This dissertion believes our country company system bussinesss enterprise is under the shareholder basis this principle guide, provision company manage construction with design, and wether with our country state of the nation, or with modern company inner part manage construction of evolution direction, all exsits big margin, main problem is:Problems in the structure of share right in China, Scare of main body from national capital investors. High percentage of share right of legal person, Difficulties in putting the right of board of shareholders into action, Less regulation staff, Inflexible functions of board of directors as a policy-making body, Weakening internal restrained system among Board of directors, Serious control by the internal personnel, The company' s personnel appointment anddismissal distorting the acting functions of the executive organization, Scarce of the encouragement and restraint mechanism towards the managers in company .Difference between managers' benefits and company' s benefits making it impossible to realize the target, Selection mechanism in manager level is nor created, Legal powers of Board of supervisors are not sufficient, Board of supervisors not monitoring strongly over Board of directors, The appointment and dismissal mechanism of the members of Board of supervisors being not reasonable, Scarce of encouragement and restraint mechanism towards the members of Boars of Supervisors. This dissertation puts forward the practical proposals and measures to improve the administrative structure of our companies on basis of analysis and proof of these differences from the placement of improving the structure of share right, further improvement of system of board of shareholders, strengthening the powers and functions of the internal administrative structure of company, improving the measures and rules in the internal administrative structure of company and board of supervisors, etc.
