Motivation mechanism is the core issue of agent-principal problem. Economists at home and aboard always work hard at it. In these years, the rapid development of private economy has been the nucleus power of our national economic development. Since private listed companies are the elites of private companies, their powers are stronger. But it is deficient to research on motivation mechanism of manager in private listed companies now. And there are little productions. One reason is that relative study is not mature. Another one is that private listed companies are new forms. Therefore, the research is of practical and theoretical significance. Reviewed the forepassed production, this paper start to study the motivation mechanism of manager in private listed companies and how it comes on theoretical and empirical aspect. This paper uses the agent-principal theory for reference and compare with foreign companies. In the empirical part, this paper takes 136 private listed companies in 2002 for example. The empirical part analyzes the status of private listed companies by econometrics. The theoretical and empirical results are consistent.
