| With the stinging competition between Chinese enterprise, middle &small-scale enterprises that hold large proportion in the domestic enterprises also want to improve their core abilities by IT management system strongly. But some limitation that these enterprises can't overcome by themselves made the application of ERP is not good. How to apply ERP system effectively, how to exert its function fully and how to improve the level of management have great significance for middle &small-scale enterprises.The research wants to solve some limited problem and carries out some analyses, such as basis analysis, requirement analysis & feasibility analysis. The paper has made some conclusions on how to apply ERP in the middle &small-scale enterprises, including lagging management ideas, technology transform problem, lack of capital, lack of human resources and so on. On bases of above-mention, the paper has introduced project risk management measure, analyzed all kinds of risks may be happened in the process of ERP application. By the source of risks, character of risks, and phases of risks may be happen, the paper defined and estimated different risks. Probing risk pivotal factors and the evaluating measures on risk severity degree and discussing the availability of the third management consultation and supervisor in the ERP project is the second task. Building up a risk management model to help middle &small-scale enterprise to defend unforeseen risks has realistic conduct significance. Besides above, the paper take advantage of systemic analysis to build up a set of evaluate index system and in search of measures of BPR to find a good way to apply ERP. Finally, the paper has summed up some experiences and prospect foreground on middle &small-scale enterprise's ERP project. The research will be helpful for middle &small-scale enterprise's ERP application, and be also valuable for the other companies in the similar fields.
