As the sole local railway transportation enterprise of Henan Province, Henan Provincial Railway Head Office plans to conduct modern enterprise institutional restructure in view of long-term development. This article elaborately designs the institutional restructure program based on the research of relevant theories and in reference with the advanced experiences.In the first place, the article expatiates on the achievements and existing problems of the state-owned enterprises, and briefly reviews the main theories and practical experiences of state-owned enterprises reform. By making specific analysis on the current situations of Henan Provincial Railway Head Office and the necessity and feasibility of the company's institutional restructure, the article definitely brings up the objectives of the institutional restructure, namely, to establish a modern enterprise institution adapted to socialistic market economy system; to convert enterprise management system; to enhance enterprise's vigor and market competition ability; to adjust product and management structure; and to take the road of continuous developments.Moreover, the article probes into the institutional restructure in depth in terms of objectives, principles, specific reasons, issues for attention, and procedures. Meanwhile, it analyzes the existing management environment, the phase of current development and the scale and technology of the company, and based on which designs beeline-function-mode organizational structure through comparison and study in accordance with the principles and forms of modern company organizational design. The article draws a conclusion upon the analysis and comparison of the pre- and after- financial indexes that the institutional restructure can enormously improve the performance of the company.
