| In the dynamic competition environment of 21st century,there are few enterprises with necessary resources ofcompetition, the cooperative degree among enterprisesincreases constantly, the cooperative range is more and moreextensive, and the cooperative form is more and more varioustoo. The strategic alliance becomes the important cooperativeform beside the other cooperative form, such as merger, uniting,participate in by shares etc. In this thesis I adopt the method of analyzing with the realexample to study the strategic alliance. The full text consists oftwo parts, the case introducing and case analyzing. In the first part, I introduce the background, developmentcourse of 3A Company mainly and how company enter course ofthe Chinese education market through the strategic alliance. In the second part, I utilize the basic resource theory ofstrategic alliance mainly to analyze the case. First, I analyze again to the resource basic theory of theenterprise, and utilize the resource basic theory of the enterpriseto explain the forming of the strategic alliance. And put forwardthe definition of the strategic alliance: The strategic alliance ofthe enterprise refers to by the enterprise of two or more (or thespecific cause and functional department) in order to reachstrategic objectives, such as the market of concurrent ownershipand use resource together, etc, organize together by loose typenetwork shape with risking take on, resource complemented 56advantage. Second, I analyze the function and status of the member ofMOE project alliance. First of all, according to every position inthe value chain of the knowledge products of cooperative, doevery cooperative partner in the strategic alliance the followinglocalization --IT manufacturer : Knowledge provider, offer ITtechnical ability quality knowledge for 3A company solidification;3A company: Knowledge process trader, with IT technicalability quality knowledge who manufacturer offer afterprocessing, Form the systemic knowledge that can be acceptedby the school; The high vocational technical school : The retailtrader of knowledge, utilize one's own resources to shift thesystemic knowledge that 3A company offers to the students. Reason for ITmanufacturer is entering educates market, increase userconversion cost, etc. The reasons of high vocational technicalschools for alliance are obtaining an advanced teachingresource and expand and enroll new students etc. Thoughmotive of forming an alliances in the strategic alliance each sideare different to some extent, the alliance partners can win one'sown goodwill resource, this is a basic reason that a strategicalliance can form. Fourth, I analyze and study resources that every member of 57MOE had, and draw the conclusion: Between the company andIT manufacturer is alliances based on knowledge resource, andthe alliance based on property right resource mainly between 3ACompany and school.
