The establishment and development of market economy will certainly lead to the reconstruction of the main market system. In the process of the development from planned economic system to market economic system, though our state-owned enterprises have experienced the trial reformation of enlarging rights and allowing profits, changing profits to taxes, managing contract and rent, they haven't shaken off the hard situation. These reformation means have temporary promoting function, but haven't the ability of supporting the reformation structure of state-owned enterprises. The vital matter of immediate urgency is to establish modern enterprise system, that is, the main market system adjusting to market mechanism in order to realize the need of clear production right, explicit right and responsibility, separated government and enterprise, scientific management.The reformation of our state-owned enterprise mainly contains two aspects on content: one is to remove the old, that is , by enlarging the sovereignty of enterprise and realizing the separation of government and enterprise, to cutoff the relation, between enterprise and old economic system gradually and to create condition for the enterprise to turn to the new economic road. The other is to set up the new, that is, by making experiment and perfecting many kinds of managing patterns, such as contracting, renting, stocking and so on, to realize modern enterprise system gradually. But on process, it mainly experienced five stages: allowing rights and profits, changing profits into taxes, contracting and renting, changing managing mechanism and marketing stock system.This thesis, by recalling the history of the reformation of state-ownedenterprise and commenting on the relevant reformation measures, clearly points out that there is no necessity for the existence and development of contracting and renting. The amalgamation and union of the enterprise is the certainty of the development. And the government should advocate and support the enterprises, which lose seriously and can't pay for the debts, to close legally. It specially points out that there exit some practical problems in the process of the reformation of our state-owned enterprise, such as the vague relation and unclear responsibility between production and right, unsteady judicial system, unseparated government and enterprise, long agency chain, private and personalized right, vague and publicized responsibility and so on. It further points out that the main way out of the reformation of the state-owned enterprise is to deepen reformation continually and establish modern enterprise system; The choice of the organizing pattern should be variant; The government should use legal, administrative and economic means to regulate and manage the state-owned enterprise; The relation between production and right is to be further clear; The supervised mechanism is to be further sturdy; On the entrustive and acting relation, each other's position and duty should be clear and right and responsibility should be consistent; To establish scientific legal management structure and implement "three carriages side by side" to keep balance; To optimize the investor's growing environment and mechanism, including encouraging mechanism, just competition and protection mechanism and restrictive mechanism, and to establish and perfect their market to strengthen the investor's cultivating ability in order to promote the investor's own quality continuously and completely.The development of the market economy requires the continuous perfection of modern enterprise system, whose development is the result of interaction andinfluence of many factors. The establishment and perfection of modern enterprise system is beneficial to the prosperity of market economy and the development and progress of our society. Of course, this is a hand task and also a magnificent project for present and future. It needs us to think carefully and put it into practice.
