Before the opening and reform, the scientific innovation of China was entirely proceeded by state-owned section. Although great achievements were made, the efficiency wasn't high as a whole; After the opening and reform, with the rapid development of foreign scientific revolution and domestic market economy, the non-governmental trend in the field of science and technology became inevitable. With the perpetual development of our socialist market economy, non-governmental science and technology enterprises, which were born in the 1980s and grew in the 1990s, have become the new increasing point of our economic development, the main force of high and new technology industry, and the first team of China's entering knowledge-based economy. Their development condition doesn't only concern the prosperity of themselves, but also concerns whether our country is strong or not in the comprehensively national power competition with the core of high and new technology. Hence, it should be paid high attention to watching the development of them, probing into the existing problems during the process of their development, and seeking for solutions to those.Take a lognitudinal view of more than twenty years' development course of nongovernmental science and technology enterprises, there are not a few experience of success, but also a lot of lessons of failure. Especially after their scale is expanded, they are to different extent confronted with the plight in management and the weakening of competition ability. Some of them even went bankrupt. For example, the huge marketing network of " three stubs" collapsed in a short instant; "Flying dragon" suffered a lawsuit after the frustration indevelopment; "Giant Group" announced bankruptcy because of the debts exceeding assets......We can't help questioning what caused their failure? The ultimate reason is their property rights institution. Among all kinds of institution arrangements, property rights institution is the core, whose efficiency determines that of the other institutions. When non-governmental science and technology enterprises came into being, the social background determined that the hidden trouble of indistinctness on property rights was lurking, and it increasingly became the obstacles to their sustainable development with the enlargement of scale and the expansion of managing scope. Therefore, it is of importantly theoretical and practical value to study on theirproperty rights institution.Through normative and demonstrative study, this dissertation firstly introduces the development course of non-governmental science and technology enterprises, gives a scientific and reasonable definition to them, and then compares two kinds of property rights institution of public-owned and privately owned science and technology enterprises with the traditional state-owned property rights institution on the basis of classification and comparison. Secondly, further analyzes their property rights institution's advantages and disadvantages, present condition and the existing practical problems, whose reason is uncovered next. Thirdly, directing against these problems, discusses the objective, mode, and realizing path of institutional vicissitude. Finally, makes a demonstrative analysis to the significance and problems worthy of attention about two typical cases namely the property rights reform of "Stone Group" and "Tian Tong" stock company. Altogether, the object of this dissertation is to improve the non-governmental entrepreneurs' knowledge about the importance of property rights institution, and to provide reference and suggestion for them and governmental decision-makers to take on and promote institutional vicissitude.
