Study On The Governance In Chinese Civilian-operated Enterprises' Internal

The Civilian-operated Enterprises (COEs) play a very important role in Chinese socialism marketing economy. This paper studies the feature of Family Organization (FO) structure in COEs, and pointing out the contradiction between FO and Modern Corporation Governance (MOG).The structure of this paper is following:On the basis of modern governance theories, the author analyses the efficiency of corporation governance between FO and Principal-agent Systems ; then using the experience of other countries' COEs for reference, the author look for the joint point within Chinese culture and MOG, and selecting the organization structure of Chinese COEs. After that, from the angle of dynamic mechanism, and from the relationship between the corporate scale and organization structure, this paper explains the institutional objective of Chinese COEs in different scale. At last, on the promise of Career Manager, this paper takes out the practical and rationalization proposal; that is, we should build the Corporation Governance of Chinese COEs by improving the internal-external environment.
