Research On The Main Problems And Countermeasures For The National Enterprises Merger And Takeover

The substance of merger and takeover is an exchange of property right, through with which one company could control another company. This is a normal action of enterprises under the system of market competition.Started again during the nineties last century, the tidal waves of purchasing and combination between international enterprises have such characteristics as enormous scale, increased quantity, enlarged realm, strong combination, standardized market and so on.In the passed 7 to 8 years, the quantity of enterprise merger and takeover has been increased in our country, which enlarged the influence to the economic gradually. Comparing with the western developed countries, there are still a lot of problems in our national enterprises. The main problems are the lagged reformation of property right system, the lacked extending of advantage enterprises; lagged making law of merger and takeover, the deviated government location, and the shortage and misunderstanding in running enterprises themselves.This paper has studied countermeasures to the above main problems, including perfecting property form of national capital, promoting stock detraction of company, developing capital market, perfecting the law of merger and takeover, correcting government action etc. At the same time, the government should enforce guiding in policy and relevant construction so as to push the work of merger and capital recombination forward smoothly.
