The Research Of Corporate Governance And Its Effectiveness

It is no more than two centuries from the naissance of Economics, if the issue of Adam Smith's Inquiry into the Nature and Causes of the Wealth of Nations was regarded as the origin of formal Economics. During the past three decades, the Theories of Enterprise has prevailed swiftly as one academic mainstream, with the most fruitful achievement in the field of Economics, and the Theories of Corporate Governance has been developed as one of the most important and sparkling branch in this mainstream.Although it is only the subject of Economists' researching in China, and strange to the common people a few years ago, the Corporate Governance has received more and more attention and recognition from Chinese government, entrepreneurs and economists, along with the Institutional propulsion of modern enterprise system and the deepening reform of corporate organization. After the 15th whole nation representative conference of P.R.C., esp. the 4th representative conference of the 15th P.R.C. central committee, had definitely brought forward that it is the core of modern enterprise system, the Corporate Governance has become the hot point and focus of the reformation of Chinese state-owned enterprise.However, although there has been a lot of academic discussions and monographs about it from Chinese and oversea economists so far, the cognitions of Chinese enterprise field about this topic are still not full and profound enough, but even bias or misconceived.Therefore, the author has selected Corporate Governance as the researching subject of this thesis, expecting to clarify the misconception about this hot topic in favor of the further reformation of Chinese stated-owned enterprise.This paper includes three parts in context:The first part is mainly about the analyses of the concept, essential, characteristics, principles, different models and their effectiveness of Corporate Governance, after the discussion on the springhead and the inevitability of the separation of modern enterprise's ownership and control from the narration of the origin of Corporate Governance issues. Then the tendency of its development and succession is prospected. Finally, an introduction and comment is presented about the Corporate Governance of alien state-owned enterprise.In the second part, a full and accurate analysis is firstly conducted in allusion to the status quo of the of Chinese state-owned enterprises, then outspread from four aspects to anatomize the present problems roundly which exist in organization, conception and system arrangement of Chinese state-owned enterprises.Based on the above studying of the theories of Corporate Governance, the third part focuses on the analyses of the deficiencies and problems of Corporate Governance, which exist in the present Chinese state-owned corporate. Finally, the author's viewpoints and suggestions are brought forward, aiming at thedirection of reform and development of State-owned Corporate Governance.
