The emphasis has been placed on the problem for 1980s and 1990s and within a upcoming period. While the 21st century is coming, the social and economic system in which enterprises are its nucleus will rapidly be changed. Nowadays the ways of control and management of company can be divided into external mode, internal mode and .family mode. The American and British enterprises which have adopted the external mode require the structure of control and management for company to be reformed because they suspect the effectiveness of supervising and controlling the market. The Japanese and German enterprises which have adopted the internal mode are going to restructure their economical development strategy and enterprise management system because their economic development strategies and enterprise systems do not meet the impact caused by the international and domestic markets. The family mode adopted by the enterprises in the Southeast Asia is on the verge of collapse due to the banking crisis.Although we have obtained some significant achievements since our implementing the economic system reform after 1978, the reform of state-owned enterprises have still been difficult so that the achievements of our economic reform and the present situation of state-owned enterprises form a sharp contrast. Reviewing the course of China's economic reform, we can know that the reason why the reform has succeeded is the introduction of private economic portion. That the private economy is full of vitality conceals to a great extent the depression of the state-owned economy. As the reform is developing, the problem of basic regulations for control and management of company has occurred, and the reform of control and management of companies has become a principle focus of the economic reform. But because of the lack of correspondingexternal market environment and internal management mode the reform of control and management of company has became a mere formality.So, there is a problem why the efficiency of the state-owned enterprises has been still decreasing after their experiencing the reform for 20 years.First of all, the reform of the state-owned enterprises has to go out of the shadow of the planned economic mode, recreate concepts of market and it's environment for our enterprises, and restructure a mode for control and management of enterprises. In the situation the enterprises and market have to be improved, the reform of enterprises can not only to be limited to the control and management, it is necessary to combine the reform of enterprises with the reform of market.The reform of China's state-owned enterprises and the fields concerned is a storming of heavy fortified positions in the beginning of the 21 century. The theory on how the mode for control and management of companies is established will have very important meanings and practical values.
