Ever since its first show-up in the nineteenth century,enterprise merger has gradually developed into a very important means of reallocating the social resources and improving the efficiency in resources use. As a result,it has been widely used in the development of modern enterprises as it expands further in a variety of ways. The study of the enterprise merger has ascended to maturity in foreign countries and considerable achievements in this field have been made in China in accordance with the merging condition here. Unfortunately,statistics shows that successful merger rates quite low due to many reasons.This paper holds that the reconstructing of merged enterprises predetermines,to a large extent,where it leads. But a study of the merge red enterprises reconstructing still remains a blank space in China. With an analysis of the present state and characteristics of enterprise merger both at home and abroad,this paper points out the significance and necessaries of reconstructing the merged enterprises and proposes that managerial reconstructing plays a key role in the success of enterprise merger. Then,it goes on to illustrate the key concept of managerial reconstructing in terms of four aspects respectively,namely they are. strategies,finance,personnel and enterprise culture. At last,this paper divides the enterprise merger at home into two main kinds:compact and loose,and an analysis of the two kinds is made according to the reconstructing theory mentioned above. The article concludes with empirical case study.
