At the age of information industry revolution, the application of Electronic Business is at high tide. Electronic Contracts, as the important means and outcome of Electronic Business, have been widely applied in international business, meanwhile have provided a great benefit and convenience to the exchange of international economy.As Electronic Contracts,the new contract form,are not given enough consideration in many countries when they make the contract law system in effect at present,many new legal problems emerge when Electronic Contracts are put in use on international business. As a result,many traditional rules of civil business law get challenged.If not resolved in good time.these problems would hinder the adoption of electronic contract forms in international business,thereby have less benefit to the development on electronic business.Related to Model Law of E-business made by the committee of international trade law of United Nations, Contract Law made by China and other relevant legal regulations, the paper is specifically analyzing the form of electronic contracts,the singature authenticity,the agreement and promise,the time and place on which contracts are effective,the legal system of evidence,the jurisdictional law system and so on ,at the same time thoroughly inquiring into the possible countermeasure.lt is pointed out that it has been the international common agreement to construct a good global environment of electronic business laws .Therefore the relevant international organizations have to positively pursue the regional and global electronic business agreements.China's entry to WTO is near at hand.so it has become an extremely rugent task to regulate the legislation in use now and make a uniform and complex electronic business law.
