Since the New Institutional Economics was introduced to China, it has being compared with Marxism economics from all points of view in economist circle for its similarity to Marxism economics in methodology, objects of study and frame of analysis. However, although some works or theses on the comparison of the two system changes theories of Marxism economics and the New Institutional Economics can be found from time to time, they are mostly sketchy, nature-determined and dispersed. Moreover, some standpoints of those writings are questionable. Therefore, it is significative to compare those two theories objectively on the bases of Marxism standpoint, viewpoint and method. This paper mainly deals with, after having systematically analyzed the two system changes or institutional changes theories, the comparison of Marxism system changes theory and New Institutional Economics and the analysis of their fundamental differences and communicatable contentions, and tries to bring the reasonable kernel of the institutional changes theory of the New Institutional Economics to the Marxism system changes theory and finally construct a general system changes theory. The work includes introduction, main body, which also can be divided into three parts, and epilogue: The introduction brings forward the objects, aims and methods of study in this work. The straight matter is the major section, which includes the following parts: The first part primarily distinguishes the two relative but discriminable meanings of Marxism system changes, which are macro-system changes and micro-institutional changes and points out the two angles of view from which Marxism Economics reviews the system changes, which are subjective side and objective side of system. In addition, based on the relational discussion in Marxism classic works, it summarizes the Marxism microcosmic institutional changes theory, which has always been ignored by many writers. After synthesizing the two kinds of Marxism system changes theories above, a comprehensive system changes theory is described in the end of this part.
