Both Li Shang-yin and Du Mu are well-known poets of late Tang Dynasty. Once Li Shang-yin gave his two poems to Du Mu but the latter didn't give his ones back to the former. The reason, although there were many other occasional factors, was about the two poems itselves, Liu Fen, Yuan Zhen and Bai Ju-yi.But the fact that they are no friends doesn't influence their literature fames. It is necessary to make an approach to there different positions. The second part of this paper tells the differences between the two poets from the political position, literal view, growing back, the fighting of parties and individual character.The last part of the paper is the discussion that there were a dialogue between Du Mu and Li Shang-yin. The key point about the dialogue is the poems of love. Han Wo, the nephew of Li Shang-yin, took part in the dialogue by collecting his love poems together as Xiang Lian Ji and writing a preface by himself. Contacting Ms. Qian Zhong-shu' judgment that there were few love pomes in Song Dynasty, the dialogue had a nature of the learning case. The third part of the article studies the inheriting relationship, Han Wo's intervention and the learning case nature of the dialogue.In brief, this article is attempting to reappear the dialogue of late Tang Dynasty by inspecting the friendship of Du Mu and Li Shang-yin.
