Research On Legal System Of Environmental Verification For Listed Companies

From 2001, the legal system of environmental verification for listed companies has been enforced more than 10 years. This legal system played an important role on improving the quality of listed companies, protecting the legitimate interests of investors, strengthening the environmental management of listed companies, and improving the quality of environment. However, there are now few academic researches on this system, and theoretical results. Lacking of theoretical guidance, this system occurs a lot of problems in practice, so it need to legislate immediately. This article put forward some corresponding recommendations for system design flaws, by historical analysis, empirical analysis, and general analysis. This article is divided into four parts.Part 1 is overview of the legal system of environmental verification for listed companies. First, this part stated the history of the legal system of environmental verification for listed companies, concluded two stages of the system, one is Start-up phase and the other is perfect phase, induced that the system is in the perfect phase. Then this article defined the concept of the legal system of environmental verification for listed companies, and concluded three basic principles. There are"legal","open, fair, and fairness", and"convenience and efficiency". Part 2 is reasoning of the necessity for the legal system of environmental verification for listed companies. This part demonstrated the necessity of the legal system from environmental law perspective and commercial perspective. From the former point of view, this system is not only an ideal way to regulate the corporate environmental behavior, but also an important tool for guarantying citizens'environment right. From the latter point of view, this system is not only an important manifestation of the enterprises to fulfill their environmental responsibilities, but also an effective means of protection the investors'interests.Part 3 is analysis the status of the legal system of environmental verification for listed companies. This part concluded the development status and legislation. From the former point of view, firstly, legislation continues to accelerate but which is not perfect, secondly, implementation is quite good but also has some problems. From the latter point of view, this article stated legislation of the legal system of environmental verification for listed companies from six aspects, such as scope, management system, content and standards, procedure, and others.Part 4 is analysis of the problem and legislation advice. This part analyzed the problem of the legal system, then, put forward corresponding advice. From the former point of view, this part concluded six flaws, such as legislative system flaw, legislative concept flaw, management structure flaw, basic system flaw, supporting system flaw, and liability flaw. Thus, this article proposed that improve the legislative system, change the legislative concept, improve the management structure, perfect the basic system, strengthening the supporting system, and implement the liability.
