Commercial banks act as important roles in the development of each country, thus their own healthy development makes important effect to the economic development, and whether commercial banks could keep healthy development mainly depends on the effectiveness of their governance. As financial intermediaries that mainly engage in raising public deposits and issuing loans, the core of bank governance should be to solve two types of asymmetry problems, i.e. the information asymmetries exist between stakeholders and bank, and between bank and borrowers.As main bank governance modes, the bank governances in Japan and USA have each own advantage, but also exist disadvantages. The objective of this dissertation is to compare the effectiveness and deficiency of this two types of bank governance modes, and the dependency of governance effectiveness to institutional environment through analyzing their evolution, and then prospect their development trends in the future and provide revelation to Chinese banking industry from their experiences.The dissertation uses comparative method to conduct systematic analysis to Japan and USA bank governance modes. During the analysis, it emphasizes the combination of theoretic and positive analysis. It organically combines management methods and economics theories in the analysis of risk management and bank performance, and increase the instructive role of theories to practices.The innovation of this dissertation is shown as follows. Firstly the dissertation takes the evolution procedure as the clue to compare the bank governance modes of two countries, and considers that they show obviously convergence during evolution relative to normal corporate governance modes of each country, but their bank governance should also maintain the basic characteristics of their traditional corporate governance modes due to the stability of culture, convention and law environment, and the effectiveness of bank governance modes depends on the institution environment. Secondly, it emphasizes the impact of capital structure and information asymmetry problem on the risk preference of bank shareholders'governance, clarifies the specialty of bank governance, and advances the key of bank governance is risk management.
