The fictitious capital is an important conception of Marx's economic system. Marx made a deep analysis on the cause of formation,form,nature and its influence on the economics based on the foundation of the comments on the interest-bearing capital and credit. With the financial economic becomes stronger, not only the quantity of the fictitious capital enlarges continuously and its influence on the social economics larger but it has been a reality in global range. The research on the Marx's theory of fictitious capital has an important sense on them.This article here induces and combs the Marx's theory of fictitious capital to make the theory more properly and systematically, then it inquires into its intension and form and the relation with substance economic. With the combination of the history,characteristics and the presentation of the capital market in our country, it points out the reasons are the unmarketable for the development of the market and the excessive interpose from government that the main question in Chinese capital market is the defect of the system. The way out is to handle the combining degree of the market mechanism and the interpose of government after the reformation of market-oriented, and then we can realize the inclusive growth in Chinese capital market. It discusses the problems such as the developing statics of the capital market in China under the background of globalized economics.
