The entrepreneurs are the products and promoters of social progress and economicdevelopment. The study of the incentive and restraint mechanism for entrepreneurs is one ofthe chief tasks for stimulating the entrepreneurs, activating their potential and promoting theeconomic and social development. The author of this paper studied the issue of establishmentof the incentive and restraint system for Chinese entrepreneurs from the current actualities andthe theoretical achievement at home and abroad, in order to establish and consummateincentive and restraint mechanism for Chinese entrepreneurs. This paper consists of sevenparts. Chapter one, which is the part of introduction, explains the research background andpurpose, and briefly reviews the current situation of incentive and restraint research, as wellas entrepreneur research in home and aboard. It also clearly purposes the research approachand the ways of thinking, and put forward some possible innovations. Chapter two briefly reviews the concept of entrepreneur, the incentive theory and theentrepreneur theory, in order to provide a foundation of continued research. Chapter three mainly discusses basic concepts of incentive and restraint, analyses therelation between the incentive and restraint, and studies deeply the problems of the incentiveand restraint. From the aspect of incentive, too low reward and inadequate incentive causedthe short management of executives, and there appeared the phenomenon of "age 59" amongthe entrepreneurs; from the aspect of restraint, the shortcomings of the legal person managingsystem causes the insufficient restraint of entrepreneurs, too much emphasis on their personalcharacters, inadequate system restraint, imperfect talent market, soft restraint of the internalregulation, superficial legal monitoring and the impotent restraint for entrepreneurs bygovernment as an investor. These problems severely hinder the energy of entrepreneurs. Chapter four mainly discusses the physical incentive for entrepreneur. One of theinitial conditions of efficiently stimulating and restricting is comprehensive and objectiveevaluation of entrepreneurs. Therefore, building a complete, scientific and systematicaleconomic index system is very necessary. In this paper the author appeals that theentrepreneurs evaluation system should be set up from five aspects: market, entrepreneurs'contribution to country, entrepreneurs' contribution to society, entrepreneurs' contribution toenterprises and entrepreneurs ability. The evaluation system includes economic contributionevaluation, market operation ability evaluation, management evaluation, social contributionevaluation and self-evaluation, and these five abilities are also related with other factors. Thisevaluation system is an organic integration which comprises various characters of摘 要 5entrepreneurs and its interrelated indexes, and the quantitative studies can be done with it.Meanwhile, the author also analyses the qualitative variables of the evaluation, whichincludes personal experience, self-quality. The physical incentive for entrepreneurs is a widely discussed issue in both academicand industrial field, especially for the annual pay system. Although it's widely accepted by thepublic, there still exist some problems, which includes the outdated ideology, the traditionalhuman resources policy hindered the popularization of the annual pay system, low annual pay,insufficient incentive, imperfect evaluation system and cash in system caused the short termoperation and the imbalance between responsibility, power and benefit, and the imperfectrestraint system.
