ObjectiveThrough the method of expert consultation to confirm due diligence evaluation scale based on the core competitiveness of the hospital,and used the scale in the empirical research of a takeover of Y hospital by Fosun Pharma,formulated application effect of due diligence in the hospital M&A of social capital,specified the specific process and key problems in due diligence before the hospital merger and acquisition,then put forward specific proposals and measures.MethodsDelphi method was adopted through two rounds of expert consultation,used SPSS20.0 statistical software and AHP analysis software to determine the main dimensions and specific evaluation items included in the core competitiveness of hospital evaluation scale used in this research,and define the dimensions and the weight coefficient;then applied evaluation scale in the study of Y hospital due diligence investigation,acquainting general procedures and elements in due diligence,defining specific process,implements and emphases of due diligence during hospital mergers and acquisitions of social capital.Results(1)The Kendall’s W value of 6 evaluation dimensions and 42 two-level evaluation indicators of the evaluation scale in hospital due diligence was between 0.601 and 0.917;the average value of primary indices was between 3.856 and 4.716;the average value of two-level evaluation indices was between 3.564 and 4.998.(2)The weight coefficient for primary indices in the evaluation scale were W(management system)at 0.1298,W(human resource)at 0.1986;W(technology level)at 0.2031,W(social function)at 0.163 5,W(hospital culture)at 0.1266,W(development potential)at 0.1784 respectively.According to the thousand point system standard,the total score of management system is 130 points,the human resource is 200 points,the technology level is 200 points,the social function is 165 points,the hospital culture 125 points,the development potential 180 points.(3)The results of due diligence Fosun Pharma conducted before acquiring due diligence displayed management system scoring 107 points,82.31%;human resource scoringl74 points,87%;the technical level scoring 178 points,89%;the social function scoring 107 points,64.85%;the hospital culture scoring 103 points,scoring rate was 82.40%;the development potential scoring 149 points,82.78%.The total score of Y hospital due diligence was 818 points,in the interval of 700-850 points.It showed that Y hospital has considerable core competitiveness and has good development prospects.ConclusionIn the due diligence during hospital mergers and acquisitions of social capital,investors should take the core competitiveness of hospital as the main content in due diligence,defining specific process and emphases of due diligence during hospital mergers and acquisitions,determine the main dimensions and specific evaluation items included in the due diligence during hospital mergers and acquisitions of social capital,through the method of quantitative analysis system,giving detailed analysis and demonstration of the target hospital,to provide a scientific basis for the feasibility of mergers and acquisitions.
