Research On The Application Of CPAs Financial Due Diligence In M & A Hospital Project

In China,investment and M & A activities,as the main ways to achieve industrial extension and expansion,have become increasingly common in the capital market.In recent years,with the rapid development of the health industry,the M & A hospital activities are also carried out in full swing,and business investment of various areas in the hospital industry is growing rapidly,including Fosun Pharma,Lenovo Holdings and Peking University Hospital.But because of the operation and the financial treatment of the hospital are different from the general business,increased the information asymmetry between the two sides of the M & A,the CPA financial due diligence as a means of reducing the information asymmetry in the M & A hospital project has become increasingly prominent and become an indispensable part.The financial due diligence business carried out by CPA is a very practical work.The research on the theoretical and practical significance of financial due diligence at home and abroad is not yet rich.Therefore,this article will focus on this unique field,based on the combination of theory and practical experience,analysis the main problem of the CPA financial due diligence application in M & A hospital projects,and put forward the corresponding countermeasures,provide guidance to the CPAs to carry out relevant areas of financial due diligence in the future.This paper first discusses the concepts and principles related to due diligence and financial due diligence,to provide the theoretical basis and foundation for the whole article;Then,from the three stages of the investigation preparation stage,the investigation implementation stage and the judgment stage,analysis the key points of the CPA financial due diligence application in the project minutely,and point out the issues and strategies that the work should focus on;And then,introduce the case of corporation T M & A maternity hospital C,and use the above key points of three stages to conduct a complete analysis in this actual case,in order to verify the feasibility of the previous solution to the practical significance;Finally,summarize the case revelation according to the case analysis process,and further improve the application countermeasures of the CPA financial due diligence in the M & A hospital projects.The overall study of this paper hopes to help CPAs through financial due diligence to provide more useful information to strategic investors in the medical industry,and improve the success rate of mergers and acquisitions.
