Faced with vast of Internet information, search engine gradually become the common approaches to get resources because of its convenience and efficient properties. On the other hand, with the acceleration of digitization, a variety of digitized works such as digital libraries, digital cinema, distance education are successively launched on global scale, people's requirements of free/fee-based content services are increasing rapidly. In the Internet, an open network environment, the characteristics of digital content-easily replicated and easily distributed bring great benefits to the publishers and content owners, and meet challenge too. The end user can copy and redistribute the valuable content in many ways, and nearly lossless in quality. So publishers must adopt digital rights management (DRM) technology to protect their content from infringement. But from the point of view of DRM, anyone who wants to access (browse, copy, etc.) contents is consumers except publishers and content owners, search engines are no exception. This potentially threats the traditional information retrieval model based on completely unprotected document. And it hinders people contact, understand and retrieval the protected content, and block the natural, efficient information communication.By doing researches on the present technology and system of DRM, the paper discusses the possible negative effects which are brought forth by DRM technology. Then we introduce four feasible method to eliminate the negative effects based on the discuss result, and make comparison of these methodologies from various aspects. The paper ends with the design of a copyright trading platform.In the platform, the contents are protected by encryption, secure container, identity authentication, integrity validation of content, rights control, and etc. This paper also designs a content scrambling method to make the index process conveniently, and apply it to the copyright trading platform, to provide users with opportunities and ways to know the content sufficiently.This paper makes active significance on the researches of search engine with DRM. But the content description, content organization and search mechanism need further research. This is the next job we should do.
