With the establishment and development of market economy of socialism, anti-ethical business operation has been existed in the business activities, which, on the one hand, results in the decline of enterprise's reputation and social status, even plunge firm into predicament. On the other hand, hinders the operation of market economy system and disturbs social economic order, even brings about descend of social ethics. In addition, china has entered WTO, many western enterprises who have both hard advantages (technology, funds, higher management) and soft advantages (ethics, culture etc.) land continually. Chinese enterprise will be faced with more severe competition. So, discussing business ethics and ethical construction is an important problem with theoretical and practical meaning.Start form active effect of ethical business operation, this article discusses basic principles which enterprise should abide by. It also analyses reasons of difference and constructs a theoretical system of business ethical construction from internal and external construction side by comparing present conditions of business ethics, ethical construction at home and overseas. The methods of dialectical materialism, horizontal comparison and positive analysis are penetrated through the whole article.The article is divided into six parts: in part one, it introduces business ethics concept and research method; in part two, it reviews origination and development on business ethics at home and overseas; in part three, it describes all kinds of anti-ethical behavior of enterprise and clarifies active effect of ethical enterprise operation from micro-and macro-direction, in part four, it puts forward some basic ethical principles; in part five, it compares and analyses present conditions of business ethics and ethical construction at home and overseas for one side, for another it explores the deep causes resulting in such difference; in part six, absorbing the quintessence of business ethical construction at overseas and considering our concrete situation, it concludes that we should improve our business ethics level and also discusses the relationship between internal construction and external construction: external construction is a external force, which forces enterprises to operate ethically; while internal construction is a internal force, which means enterprise controls itself voluntarily when its ethical quality is improved, external forces act through internal force. The two forces interact.
