In new century, enterprises'competition focused on the knowledge, information and innovation. As the carrier of knowledge, information and innovation, human resources become more important. Human Resources Value Measure is the focus of the human resources factors. Human resources value is the potential and creationary working capability which is the new value that makes out by the labor's work. Based on economic notion, human resources value is the series future economic profits and services that human resources would provide during the time he/she stays in the firm. The development and research of HRV theory are capable to provide essential dada for HR utility and HR investment, offer a method for the economy growth calculation driven by intelligence in New Economy era, lesson the relative research between China and developed countries.Subversive changes have emerged in the New Economy Era between HR take intelligent work and traditional HR. In traditional production, most of the new value comes from capital while HR management and development operated as the secondary factor. In the era of New Economy, capital is no more the main resources of value production. Knowledge Economy and Information Economy have taken the place of capital to become the most important factor. So the people master the knowledge and information are considered invaluable. The change of the production requires corresponding HRV theories and methods. We suppose the form and employee can be regarded as deputy and client when we analysis the characters of HRV. The client is the employee who owns the human resources while the deputy is the form. The employee invest his human resources into the enterprise which is let his human resources be used and managed by the form. In this deputy-client relationship the form is the deputy of the human resources. So we can tell that there are real option bond between the form and the human resources. Human resources'real option is a special choice rights.
