With the rapid development of the Internet and the advancement of information technology,the influence of media reports is also expanding day by day and has become an indispensable part of corporate governance.As an increasingly prominent force in China's capital market,private enterprises have many problems in corporate governance,and the corporate governance mechanism is difficult to play a role.However,the media's preference for private enterprises has brought a new development direction for the governance of private enterprises.In this paper,the violation of Jingtianli was selected as a case,and the process and motivation of the violation were analyzed to explore the path and effect of media reporting on corporate governance when the traditional corporate governance mechanism was ineffective.On the basis of the case summary,improvement suggestions were put forward for the construction and development of relevant systems.This paper mainly adopts literature research method and case study method.Based on the existing literature on corporate governance and the role of corporate governance reported by the media,the argumentative logic of this paper is summarized by combining relevant theories.Secondly,the case study method is adopted to take the violation incident of Jingtianli as the case object.The paper studies the process,path and effect of media reports on corporate governance in the absence of traditional governance mechanism,so as to provide reference for corporate governance of private enterprises.The main findings of this paper are as follows:(1)In China's private enterprises,there are serious corporate governance problems,and the traditional corporate governance mechanism is often difficult to play a role in private enterprises.As an effective external governance mechanism,media reports play an important role in improving corporate governance.(2)the media role in corporate governance in the process of lead in information disclosure,the role of information disseminator and social supervisors,the media play a role in corporate governance is through the administrative supervision mechanism,reputation mechanism,market mechanism of pressure conduction path implementation,mainly under the administrative supervision mechanism,reputation mechanism to realize scientific decision-making,promote the corporate governance;(3)The corporate governance effect of media reports is reflected in promoting the improvement of internal governance system,alleviating information asymmetry and improving the quality of external governance,ensuring the scientific decision-making and realizing the corporate governance function by promoting the improvement and implementation of internal and external institutional arrangements;(4)the realization of the media role in corporate governance depends on the construction of relevant systems in our country,and also reported by media content and nature,the company had the influence of governance structure,the perfection of legal system,the construction of the professional manager market,and media reports in the creation of the loose environment to play a role in corporate governance has important significance.The innovation points of this paper are as follows:(1)this paper analyzes the governance mechanism of media reports based on the cases of corporate violations,which can actively play the role of corporate governance under different paths of media,realize scientific corporate decision-making and optimize corporate governance;(2)Using literature and case analysis to study the corporate governance effect of media reports on irregularities in specific companies,it can provide case experience and inspiration for existing empirical analysis and research on the path and effect of media reports on corporate governance.
