Since the reform and opening up,China's market economy has made considerable progress.Although the overall national strength and international influence has greatly enhanced,there are also some problems.For example,some companies in order to increase the share by compressing the cost leads to the lack of social responsibility.Meanwhile it proves that we are becoming to worry about the status of corporate social responsibility(CSR).Even if the government has issued a series of laws to drive corporates to fulfill their social responsibility,it has little effect since our country is experiencing the transition period of economic development.In this context,to explore the impact of CSR,driving the companies to fulfill their social responsibility is imminent.CSR as a concept of moral level,corporate governance with its own advantages can be its specific implementation approach.As the most important medium of information transmission and social supervision,media has effect on corporate governance.Therefore,this paper studies the impact of corporate governance on CSR and chooses media to play a role of moderating variable in the relationship between corporate governance and CSR.The research idea of this paper are as follows.Firstly,based on the review of existing literature,the main problems are put forward.Secondly,after defining the main concepts,based on the stakeholder theory,the principal agent theory,asymmetric information theory,signal transmission theory,reputation theory and media agenda setting theory,we put forward three paths among the media attention,corporate governance and CSR:information propagation path,reputation path and government intervention path.After the theoretical analysis,according to the main problems,we put forward some hypothesis.Then,this paper empirically tests the hypothesis by using the data of companies of A-share issued in 2011-2015 as the sample and relevant statistical methods,such as descriptive statistics,correlation analysis and multiple linear regression.Finally,through the empirical results,the conclusions and implications of this study are drawn.Through theoretical analysis and empirical analysis,the conclusions are as follows:(1)The larger size of the board of directors,the better performance of CSR;(2)The higher ownership concentration,the better performance of CSR;(3)The higher equity balance degree,the better performance of CSR;(4)The higher wages of managers,the better performance of CSR;(5)The higher media attention,the better performance of CSR;(6)In the case of high media attention,corporate governance will be more conductive to CSR.Therefore,we should make full use of the company's internal governance and external media attention to promote enterprises to perform social responsibility.
