In the times of knowledge economy, high-technology industry, as a kind of talents and knowledge intensive economic entity, is gradually replacing the traditional industries advantage and to be the main source of power for a nation to gain long-term competitive advantage. According to statistics, the demands for specialized personnel in high-tech industry is5times that of traditional industry, so in a sense, the competition of high-tech enterprises in the final analysis is the competition of talents, especially high-quality science and technology talents competition. Therefore, to effectively attract and retain the core technical personnel, developing, transferring and solidifying the value of core technical personnel, is key to the enterprise to obtain long-term competitive advantage and keep sustainable development.However, today in many high-tech enterprises of our country, there are still problems such as out-of-date ideas, inflexible incentive mechanism, conflicts and imbalance of short-term incentive and long-term incentive, incentive methods blindly use etc. This makes the high-tech talents reluctant to give full play to one’s ability and cleverness, seriously hampered their working enthusiasm and creativity, in the course of time, resulting in the loss of talents. In such a case, there is a need to have a reasonable incentive measure, which will tie enterprise’s interests and employees’interests closely together. In the present circumstances, equity incentive is shown to be the best incentive mode to accomplish this task. Thus, studying the equity incentive mechanism of science and technology talents in high-tech enterprises has important practical significance.This paper is based on principal-agent theory, motivation theory, human capital theory and life cycle theory, and through the analysis of equity incentive theory and practice research at home and abroad, and then considering the common features of scientific and technological personnel in high-tech enterprises, finally presenting a general equity incentive model for the science and technology talents in high-tech enterprises. After that, we make an analysis of the present incentive situation in XP Biology Company. According to the specific problems, we put forward a virtual stock option of the equity incentive plan. Next we design the related elements, making an implementation. Finally we make a related analysis on the implementation results, and put forward the improvement proposals. Through this research, it will bring the practical reference value to other high-tech enterprises in our country when to implement equity incentive mechanism.
