During 1980s' and 1990s', the overseas theorists conduct the massive research to the overseas subsidiary company's growth and development in terms of its different roles. Recognizing that overseas subsidiaries undertake the different roles in the multinational corporation network system interior and in the host country environment is a major progress in research indeed. However, the majority of studies have focused on the analysis of the impact on growth and development of a group of overseas subsidiaries factors. But for the majority of overseas subsidiaries, its growth and development are affected by the combined three factors, which are assignment of the parent company, the host environment and overseas subsidiaries' own selection. Under the influence of this special mechanism, the role of overseas -subsidiaries is having the change and the evolution in multinational corporation network system along with the growth different stage. Study on the mechanism of the role of overseas subsidiaries is to probe the role of overseas subsidiaries evolution mechanism from the factors of influencing and constraining growth and development of the overseas subsidiaries.This paper is based on theoretical analysis, pointing out that overseas subsidiaries simultaneously are undertaking the initial role and the strategic role. From this, this article analyzes its evolution process between the initial role and the strategic role. Moreover, based on the SWOT model, this article also elaborates the transnational subsidiaries 'unique strategy choice mechanism, and points out the key aspect which influences subsidiaries' evolution of strategic role is the parenting advantages.In this paper, based on the perspective of multinational companies overseas subsidiaries, it affiliates strategic role in the evolution of the general discussed ways, and proposed that the relations of parent company and subsidiaries company is no longer a one-way control, but the two-way and mutually beneficial win-win situation.
