At present our country Enterprise has a very remarkable characteristic, It is the information between the shareholders and managers is asymmetrical. Shareholder's dismissal or the company domination market's control threat can affect the manager's stably position or not, enables them to have intensely defends stubbornly the position motive, maintains the existing domination status inevitably vigorously, resisting eliminates its domination to dismiss the behavior, thus has the Managerial Entrenchment. This regarding explained that manager the administrative action has provided a new angle of view. How in recent years to carry on the effective surveillance and the drive to our country manager, reduced its managerial entrenchment degree, became the theorists and the practical realm focal point day after day, but the domestic scholar to managerial entrenchment and the influencing factor, the managerial entrenchment level measure and so on key question had still not made the breakthrough progress.This article reviewed the domestic and foreign scholars of managerial entrenchment correlation theories, the manager quality and the evaluation theory and the manager's drove and restraint theory the research. Based on theoretical analysis,experts consultation and questionnaire survey, established the managerial entrenchment index evaluation system, the evaluation system establishes the target from two aspects:The manager's transforms working costs and manager ability, and using analytic hierarchy process to determine the target weight. And then design the managerial entrenchment index evaluation system, including the demand analysis, various functional module, the database and the flow chart, the contact surface and so on.Based on this, divides the manager type according to the anticipated managerial entrenchment index: Management entrenchment degree low, moderate, altitude, and corresponding proposed the drive restricted game suggested, Finally selects two manager to carry on the system evaluation, obtains the evaluation index and the corresponding countermeasure suggestion.This article design the managerial entrenchment index evaluation system, The goal is that,when inspected the manager. It has provided an effective measuring tool for the shareholder. This system uses in the shareholder whether when to hire or inspect the manager, may let the manager participate in the system evaluation, according to manager's managerial entrenchment index evaluation result to know that manager's managerial entrenchment degree, then judges whether can increase the supervision dynamics, or changes manager's salary structure and the drive measure, in order to reduce the managerial entrenchment level, together toward enterprise value maximization goal diligently. Because the time is limited, system's development also waits for consummating, this has built the foundation for the later further applied research.
