The problem of corporate governance has always been an important and hot topic on which Chinese and foreign specialist, governmental policy-makers and entrepreneurs have been working to find the best solution. Now this state is still in the ascendant. In recent years a new trend of consummating corporate governance system and advancing governance efficiency has appeared. In China, corporate governance is still a new concept. Along with the rapid development of securities market in China, the important role of PLC in the national economy gradually unfolds. Properly selecting and adequately utilizing PLC can release China from of the bondage of the highly concentrated planned economy as soon as possible, realize the optimal collocation of resources by market and advance economic competitiveness. But the corporate governance systems of China PLC take on many characteristics of economic transform period that make some bad effect on the china economic. Consummating rewarding motivation and boosting governance efficiency have gradually become the common focus of the domestic investors and market supervisors in China.In the practice of corporate governance of companies in China,the Existing theories and policies of the corporate governance structure and too much emphasis on form,confuse the relationship between means and ends,Often depart from the complementary and symbiotic enterprise system. Based on a new perspective ,the paper analysis the governance performance. The fundamental objective of corporate governance is to achieve governance performance.
