The manufacturing mode of OEM entered into our country under the background of movement of global value chain in 1980's, and it has been developed greatly in the past years. Nevertheless, this kind of manufacturing mode has lost its previous strengths and this has threatened the delopement of OEM in our country. The inner expectation and burning desire for upgrading and transformation of OEM has been focused on more and more. So my research will be explored in according with the background.Firstly, this research reviewed the related theory of OEM with the jointed actual phase of OEM. Secondly, the research took the advantage of the selected core competence which mainly including R&D and brand marketing capacities to build up theoretical model of upgrading and transformation of OEM initially. In addition, this research gave the theoretical model and topic of this research. What's more, to perform the case study of three OEM from mainland such as Galanz, BYD and Foxconn, and then do the comparison among cases, testified the topic of research. Finally, showed the results of the research and gave the proposal of research in the future.This research explored study over the upgrading and transformation of OEM based on core competence, then to buid up the core competence according to the viewpoints of entrepreneurship, marketing strategy and corporate culture, and this promoted the upgrading and transformation of OEM. Furtherly, to perform the case study from the mainland which have been successful in its upgrading and transformation, so testified the four topics of research:the core competence can promote the the upgrading and transformation of OEM; entrepreneurship can promote the formation of core competence; the marketing strategy can promote the formation of core competence; the corporate culture can also promote the formation of core competence.
