After entering the 21st century, along with the coming of new economy age based on the knowledge and information-technology, the inner resource circumstances, technology circumstances and the outer market environments, have been changed deeply, consequently, the current organization structure, system arrangement and strategy selection are stricken badly, the primary organization modality is facing the huge trial. So, how to carry through the organization innovation timely to gain the everlasting competitive predominance according to the changes of outer environment and the organization characteristics of the university, is the prime issue to the development of university. The organization innovation theory based on the organization theory, strategy management theory, human capital theory and institutional economics provides the theory foundation for university's organization innovation. Just under such age background and theory sustentation, this paper designs one research frame of university's organization innovation from the angle of human capital investment which is new correspondingly.First of all, this paper dissertates its theory foundation, that is, the correlative definitions and conceptions of human capital, human capital investment and organization innovation, and defines the notion and characteristics of the university's human capital. In the next place, the paper defines the notion of university's organization innovation based on introducing the organizational characteristics of university, and couplings the university's organization innovation to the university's human capital investment; then it dissertates the subsistent questions about organizational strategy, organizational structure and organizational culture of university organization, and simply analyzes the causations, to elicit the meaning and necessary of university's organization innovation. At last, based on the theories and analysis of questions upwards, the paper investigates the patterns of university's organization innovation based on the human capital investment, and demonstrates the path of university's organization innovation on the ground of defining the university's organization innovation constituents based on the human capital investment.In conclusion, along with the coming of information economy, the meaning of university's organization innovation is more and more obvious, and with the research about human capital and human capital investment increasingly consummate, analyzing and solving the questions about university's organization innovation from the angle of human capital investment is the uptrend. This paper investigates the patterns and path from the angle of organization innovation constituents, trying to provide reference for the university's organization innovation of our country.
