Establishing modern enterprise system is a goal of state-owned enterprises reform in our country, and the reform of organization system is a main method to realize it. There are two layers during state-owned enterprises reform: the first is the reform between enterprise and country ,such as adopting stock system, asset operating obligation, lease,etc; the second is the reform acted in company inside, for instance, rebuilding corporate body structure .setting up the parent-son company system. Most people have been in accordance with the first opinion, but few people has realized the important meaning for the second idea. In fact, they all touch upon the reform for asset relationship. Viewing from this angle, the reform will be conducted along the direction of whole and criterion. This article tries to explore the reform thoughts and direction inside state-owned enterprise group, based on ShenYang Mechanical and Electrical Equipment Industry Group(for short SME) which has been just founded for no long time.SME is a big group manufacturing mechanical and electrical equipment founding at the end of 2000, running at the beginning of 2002. It came from ShengYang Mechanism Industry Management Bureau, emerging as the times require in the process of government transferring its function and dividing from enterprises. Although SME having been set up, but only the name of its government institute being changed ,it is only a cap on its subordinate company, government instruction is be taken as a main method running its subordinate company. Owing to its right of running state-owned assets having not been granted by government, parent-son company system has yet not been established, the asset belonging relationship isn't definite, it still takes the old government methods to run its subordinate company, it hasn't been developed for SME' headquarter using its strategy management function and capital operating function, so, it is necessary to research and analyze SME' internal system reform.The thesis does analyze SME forming background and now situation, putforward the development ideas and some requirement related policy for SME by comparing Chinese theory about enterprise group with that of other countries ,adopts some methods as research analysis, comparison analysis, statistics analysis. I hope the article will be beneficial to SME.The thesis is consisted by four parts, the main contents as follow:The first part offers SME' background and situation and good conditions.The second part focus on analyzing some questions existing in SME, and the causing reasons.The third part analyses some theory for enterprise group, such as the nature of it, parent-son company speciality, principle and way of creating a group, management structure, company organization design, management direction, etc.put the main questions on the reform way for SME. The article get into the conclusion which SME should choose H module and be over H module, base on the comparing analysis among U module, M module and H module. The article offers SME should amplify its headquarter , try to improve some functions as planning and applying strategy, technique innovation, resources integration, marketing exploration, etc. On the aspect of drawing up strategy, the strategy committee should be founded, in order to ensure the right development direction of group. About technique innovation, should create the management system and take action to apply it ,in my way ,the group technical center should be established to form the organization system on union exploration. Rresources being used together ,it is important that similar products and technology are been put together to improve the resources using rate and producing scale. The group headquarter should control its subsidiary company base on owned-stock amounts ,and master subsidiary company finance and manager.
