The state owned hospital plays main role in the medical industrial, it's target is to ensure the public's health. With the development of the market economic, the managements and operation of the state owned hospital don't only fit with the development of the market economic, but also can not meet the demand of the public. The state owned hospital need reform.Recent years, our country made some reform on the property right system of the state owned hospital, although we get some result with the deep reform, we also find some problem, especially the hospital governance Structure. In some hospitals, they make the reform on the property right system without establishing the governance structure; the undeep reform not only didn't solve the old problem but also caused new problems.Nanping People's hospital is a traditional Chinese medical hospital with a 50-year long history. The hospital developed slow because of the bad foundation structure ,undeveloped technology change the present state and depend on itself, in 1996,the leader of the hospital decided to make reform on the hospital. They took the measure of the Joint stock system cooperation: Manages together, benefit sharing, the risk altogether takes on. After reform, the hospital established the modern governance structure. But the undeep reform and uncompleted governance structure did not play the role as expected. The Board of Directors and the Board of Supervisors can not play the role. It not only affect the economic benefit but also surd the development of the hospital.This paper puts forwards the target and content of the operation's further reform through the research of the governance structure in existence of Nanping people's hospital. The hospital ensures the successful realization of the hospital's seconds reform by change empolyees'statue, normalizing the behaviors of the Board of Directors, establishing the mechanism of incentives and disincentives of the executives, and further improving the supervising function of the Board of Supervisors.
